About
This course deals with the laws governing the information of partnership and corporations. It includes a discussion on the various types of partnerships and corporations, profit sharing among partners, dissolution and liquidation of a partnership, classes of capital stock, powers and obligations of stockholders, rights and liabilities of stockholders, trustees and officers of the corporation. The course also includes a discussion on the law of associations such as clubs.

Pre-requisite: Law on Obligations and Contracts
Course Objectives:
At the end of the course the students should be able to:
1. Understand how partnerships and corporations are formed, dissolved and liquidated; and
2. To know the powers, rights and obligations of the partnership and corporations; partners, directors, and officers.

Course Requirement: Passing the required quizzes and formal examinations and class participation based on attendance, recitations, seat works and assignments.

Total= 1H- 45%, 2H-55%
Note: Qualifying grade is at least 81% of raw score or a term mark of 3.0.
